Expanded Power Champion agreement covers up to 384 additional NVIDIA HGX B300 systems, bringing the relationship to up to 512 systems in total, subject to future purchase orders and customary conditions

HOUSTON, Aug. 27, 2026 (GLOBE NEWSWIRE) -- via IBN – AZIO AI Holdings, Inc. (Nasdaq: AZIO) (“AZIO AI” or the “Company”) today announced that it has expanded its agreement with Power Champion Investment Limited (“Power Champion”) to cover the purchase of up to 384 additional NVIDIA HGX B300 GPU systems. Together with the up to 128 systems announced on Aug. 6, 2026, the relationship now covers up to 512 systems in total, representing an estimated cumulative sales pipeline value of approximately $307 million based on current market pricing. The expansion follows the Company’s Aug. 20, 2026, announcement of Atlas One, its South Texas compute infrastructure campus engineered for up to 500 MW of planned behind‐the‐meter power capacity.

Expanded Volume and Estimated Value

Based on current market pricing of $600,000 per NVIDIA HGX B300 system — an approximate midpoint of the range of current market prices from $472,000 to $720,000 per unit, depending on customer customization — the Company estimates the additional 384 systems represent an approximate incremental sales pipeline value of $230 million. Added to the approximately $77 million previously announced on August 6, 2026, the up to 512 systems covered in total represent an approximate cumulative sales pipeline value of $307 million. Both figures assume that all contemplated systems are purchased by Power Champion and are subject to the agreements’ terms and customary conditions.

At the low and high ends of the current pricing range, the estimated value of the additional 384 systems would be approximately $181 million and $276 million, respectively, and the estimated cumulative value of the up to 512 systems would be approximately $242 million and $369 million, respectively.

Relationship to Atlas One

Atlas One is engineered for up to 500 MW of planned behind‐the‐meter power capacity across more than 548 acres in South Texas. Approximately 11 MW of that planned capacity has been secured to date, of which approximately 6 MW is activated and has operated at approximately 97.8% intensive compute uptime. The balance of the up to 500 MW is planned capacity for which the campus has been engineered and is additional to the 11 MW secured; realizing it will require further generation, equipment, permitting, financing and customer commitments.

Hosting Agreement Discussions

The Company and Power Champion are in discussions regarding the potential hosting of systems at Atlas One. No agreement has been entered into, the discussions are ongoing, and the Company can provide no assurance that any hosting agreement will be entered into or, if entered into, on what terms or covering what capacity. The systems contemplated by the expanded agreement are for deployment at U.S.‐based AI infrastructure facilities, and the deployment location for any systems purchased has not been determined. As of the date of this release, Atlas One has no contracted AI hosting capacity.

Management Commentary

Chris Young, CEO and Chairman of AZIO AI Holdings, Inc., stated:

“An additional 384 systems on top of the 128 we announced earlier this month takes the contemplated volume with Power Champion to 512. That is a significant expansion of a relationship that began with a hosting agreement in July.

“We engineered Atlas One for up to 500 megawatts because we believed demand for high‐density compute would eventually need sites built at that scale on their own generation. Putting that campus in front of the market appears to have changed the conversation with this customer, and the expanded volume reflects that.

“We are in discussions with Power Champion about hosting at Atlas One. Those discussions are not concluded, and I am not going to characterize them beyond that. If we reach an agreement, we will announce it.

“I want to be equally clear about the work in front of us. This is a pipeline, not a purchase order. Delivery at this volume depends on supplier allocation and is subject to U.S. federal export requirements. We will report each of those as they are resolved rather than in advance of them.”

Forward‐Looking Statements

This press release contains forward‐looking statements within the meaning of applicable federal securities laws, including statements regarding the expanded agreement with Power Champion Investment Limited; the number of NVIDIA HGX B300 systems that may be purchased; estimated incremental and cumulative sales pipeline value; ongoing discussions regarding potential hosting at Atlas One; the development, construction, activation and expansion of Atlas One and future Project Atlas phases; the addition of generation, cooling and redundancy infrastructure; supplier allocation and applicable U.S. federal export requirements; the timing and issuance of purchase orders and deliveries; and potential future revenue opportunities. In some cases, forward‐looking statements may be identified by words such as “may,” “will,” “could,” “expect,” “anticipate,” “believe,” “estimate,” “project,” “intend,” “continue” and “potential.”

Estimated Value

The approximately $230 million and $307 million figures are estimates of sales pipeline value derived by multiplying contemplated system counts by an assumed $600,000 per‐system market price. They are not backlog, not contracted amounts, not orders, and not revenue forecasts. No purchase orders have been issued under the expanded agreement as of the date of this release, and no revenue has been recognized in respect of it. Actual revenues, if any, will depend on market prices at the time of order, delivered volume and timing, and satisfaction of the conditions in the agreement. The figures assume every contemplated system is purchased, which the Company cannot assure. Per‐system market prices currently range from approximately $472,000 to $720,000 depending on configuration and may change. Sales pipeline value represents the estimated value of systems the Company may sell to Power Champion. It is not equivalent to revenue, does not represent assets owned or held by the Company, and does not reflect cost of goods sold, margin or the Company’s ability to source systems.

Atlas One and Hosting Discussions

Statements regarding potential hosting of systems at Atlas One reflect discussions that are ongoing and have not resulted in an agreement. No assurance can be given that any hosting agreement will be entered into, or as to its timing, terms or capacity. The deployment location for any systems purchased under the expanded agreement has not been determined and may be at facilities other than Atlas One. Any hosting at Atlas One would be subject to the completion of infrastructure that does not exist as of the date of this release, including generation capacity beyond the approximately 11 MW currently secured and the cooling, power distribution and redundancy infrastructure required for high‐density AI compute workloads. As of the date of this release, Atlas One has no contracted AI hosting capacity and no AI or high‐performance computing workload is operating at the site. The approximately 97.8% uptime previously reported relates solely to a intensive compute workload during a historical period, is not a service level commitment, and does not represent availability for AI or high‐performance computing workloads. Statements regarding up to 500 MW refer to planned capacity for which the campus has been engineered, which is additional to the approximately 11 MW secured to date and is not available, permitted or financed as of the date of this release.

Supply and Export Requirements

Fulfillment of the contemplated volume would require the Company to obtain up to 512 NVIDIA HGX B300 systems, which are subject to supplier allocation, lead times and terms that the Company does not control and is subject to U.S. federal export requirements. No assurance can be given that these conditions will be satisfied, and a failure or delay in satisfying them could reduce, delay or prevent fulfillment of some or all of the contemplated volume.

Non‐Additive Measures

Readers should not aggregate the estimated sales pipeline values described in this release with capacity figures, agreement values or committed amounts previously disclosed in connection with Atlas One, the July 9, 2026, hosting agreement, the previously disclosed $27.9 million agreement scalable to $100 million, or the AT&T Master Services Agreement. These measure different things at different stages and are not cumulative.

Forward‐looking statements are based on management’s current expectations, estimates, assumptions and beliefs and are subject to risks and uncertainties that could cause actual results to differ materially. These include, among others, the Company’s ability to procure equipment on acceptable terms and timing; the availability of supplier allocation; applicable U.S. federal export requirements; the Company’s ability to secure additional generation and complete infrastructure development and permitting; counterparty performance and creditworthiness; the conversion of pipeline arrangements into binding purchase orders; changes in GPU market pricing and demand; and general economic and market conditions. Additional information regarding risks and uncertainties is contained in the Company’s filings with the Securities and Exchange Commission. Readers are cautioned not to place undue reliance on forward‐looking statements. Except as required by applicable law, the Company undertakes no obligation to publicly update or revise any forward‐looking statements.
